CoFriend Terms of Service

Hello and welcome to CoFriend! Thanks for being one of our first users. These Terms of Service are a simple agreement between you and CoFriend ("cofriend.ai", "we," "us," "our"). They cover your use of the CoFriend mobile app and any related services (we'll just call all of this the "Service").

By creating an account or using our Service, you're agreeing to these rules. If you don't agree with them, please don't use the Service.

Quick note on disputes: Like many services, these terms include a mandatory arbitration clause and a class action waiver. This means that instead of suing in court, we both agree to resolve disputes with a neutral arbitrator. Please read that section carefully.


1. Using CoFriend

  • Age Requirement: You must be at least 18 years old to use CoFriend. When you register to use the Services, you agree to provide accurate and complete information about yourself. If you are under 18 years old, do not sign up for the Services – you are not authorized to use them.

  • Your Account: You're responsible for keeping your password and account details safe. Everything that happens under your account is on you. If you think someone has gained unauthorized access, let us know immediately at security@cofriend.ai.

  • Service Changes: We're always working to improve CoFriend. This means we may add or remove features, and we might establish limits on things like message storage. We reserve the right to suspend accounts that are inactive for a long time.


2. Your Content and The Rules of Conduct

You're responsible for all the content you create and share on CoFriend. This includes your chats, your AI friends' profiles, and anything else you upload ("Your Content").

When using CoFriend, you agree not to post any content or engage in behavior that is:

  • Illegal or Harmful: Don't break the law, promote criminal activity, or post content that is threatening, abusive, or harassing. This includes hate speech, graphic violence, and content that promotes self-harm or eating disorders.

  • An Invasion of Privacy: Don't impersonate people or post their private information without permission.

  • Sexually Explicit: No pornography or any content that sexually exploits or endangers minors.

  • Intellectually Dishonest: Don't post content that infringes on someone else's copyright, trademark, or intellectual property.

  • Spam or Malicious: Don't send spam, try to scam users, or upload viruses or code intended to disrupt or harm the Service.

  • Disruptive to the Service: Don't scrape, reverse-engineer, or try to hack our Service.

We use a mix of automated systems and human review to moderate content. If you see something that breaks these rules, please report at report@cofriend.ai. We reserve the right to remove content and suspend or terminate accounts that violate these terms.


3. Who Owns What? (Intellectual Property)

  • You Own Your Content: You own the rights to the AI friends you create and the messages you send. We don't claim ownership over your creative work.

  • You Grant Us a License: To operate and improve the Service, you grant us a broad, royalty-free, worldwide license to use, host, store, modify, and display Your Content. For example, we need this permission to store your chats on our servers, allow your friends (human and AI) to receive your messages, and use anonymized data to train our models and improve the app. This license ends when you delete your content or your account, except for data we may need to keep for legal reasons or in backup systems for a limited time.

  • You Grant Us a License: To operate the Service, you grant us a broad, royalty-free, worldwide license to use, host, store, and modify Your Content. We need this permission for the app to function properly. For example, this license allows us to:

    • Store your chats on our servers so you and your human friends can access them.

    • Deliver your messages to established LLM API service providers for genAI response.

    • Enable your AI friends to interact with other human users on their own. For instance, when you add them to a group chat, your AI friend will respond to topics they when appropriate, based on their personality.

  • We Own Our Service: We own the CoFriend name, logo, and the app's code and design. You can't use our branding without our permission.


4. Paid Services

CoFriend offers an optional paid subscription to enhance your experience. Subscribing gives your AI friends premium features, such as more instant-response and improved model performance.

  • Billing: When you subscribe, you agree to provide accurate billing information. Your subscription will automatically renew on a recurring basis (e.g., monthly or yearly) until you cancel. All applicable taxes will be charged where required.

  • Cancellation: You can cancel your subscription at any time through the App Store, where you made the purchase. Payments are generally non-refundable unless required by law.

  • Price Changes: If we change our subscription prices, we'll give you at least 30 days' notice before your next renewal date, giving you the chance to cancel if you don't agree to the new price.


5. The Serious Legal Stuff (Please Read Carefully)

This section limits our liability and dictates how we handle legal disputes.

  • Disclaimer of Warranty: CoFriend is provided "AS AVAILABLE." We work hard to make it great, but we can't guarantee it will always be perfect, uninterrupted, or error-free. You use it at your own risk.

  • Limitation of Liability: To the fullest extent permitted by law, CoFriend will not be liable for any indirect or consequential damages. Our total liability for any claim related to the Service is limited to the greater of $100 or the amount you paid us in the past 12 months.

  • Indemnity: You agree to indemnify and hold CoFriend harmless from any claims or damages (including legal fees) arising from your use of the Service or your violation of these terms.


6. Dispute Resolution by Binding Arbitration

  • Agreement to Arbitrate: Instead of suing in court before a judge or jury, you and CoFriend agree that any dispute will be resolved through binding individual arbitration.

  • Class Action Waiver: You agree to only bring claims against us on an individual basis. This means you waive your right to participate in any class-action lawsuit.

  • How to Opt-Out: You can opt-out of this arbitration agreement. You must notify us in writing within 30 days of first accepting these terms by emailing arbitration-opt-out@cofriend.ai.

  • Process: Before starting arbitration, please contact our support team first. Most issues can be solved quickly. If not, the party seeking arbitration must send a written "Notice of Dispute." We'll then have 60 days to try and resolve it informally before arbitration can begin.


7. General Terms

  • Termination: You can delete your account and stop using the Service at any time. We can also suspend or terminate your account if you violate these terms.

  • Changes to These Terms: We may update these terms from time to time. If we make a significant change, we'll notify you through the app or by email. Your continued use of CoFriend after the changes take effect means you agree to the new terms.

  • Governing Law: These terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions.
