CoFriend Terms of Service

Welcome to CoFriend. These Terms of Service (“Terms”) are a binding agreement between you and CoFriend INC (“CoFriend,” “we,” “us,” “our”), covering the CoFriend mobile app, the website at cofriend.ai, and related services (the “Service”).

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you don’t agree, don’t use the Service.

Please note: these Terms include a binding individual arbitration agreement and a class‑action waiver (Section 10). Read that section carefully.

1. Eligibility and Your Account

Age Requirement: You must be at least 16 years old to use CoFriend, and you agree to provide accurate registration information. If you are under 16, do not use the Service.
Account Safety: You are responsible for safeguarding your credentials and for activity under your account. Notify us at support@cofriend.ai if you suspect unauthorized access.
Accurate Information: You agree to keep your information current.
Changes to the Service: We are continually improving CoFriend and may add, modify, remove, or limit features, and may suspend accounts that are inactive for an extended period. We may modify or discontinue parts of the Service.

2. Your Content and Acceptable Use

“Your Content” means your chats, the AI friends and personalities you create, images, and anything else you upload. You are responsible for Your Content.

You agree not to create, share, or engage in anything that is:

Illegal or Harmful: including threats, harassment, hate speech, graphic violence, or promotion of self‑harm or eating disorders;
An Invasion of Privacy: impersonating others or posting their private information without permission;
Non-Consensual, Deceptive, or Unauthorized Imagery: including the creation or sharing of deepfakes, or sexual or intimate images of real people without their consent. You may not use the Service to upload, generate, or distribute any image of a real person without their permission and all necessary rights to do so;
Sexually Explicit: no pornography, and absolutely no content that sexually exploits or endangers minors;
Infringing: violating someone’s copyright, trademark, or other rights;
Spam or Malicious: scams, malware, or anything intended to harm the Service or users;
Disruptive to the Service: scraping, reverse‑engineering, automated abuse, or attempts to breach the Service.

Moderation: We use automated filtering and human review. You can block or report other users within the app or report content by emailing support@cofriend.ai. We reserve the right to remove content and suspend or terminate accounts that violate these Terms.

3. AI-Generated Content and No Reliance

The Service uses artificial intelligence to generate text and images. AI responses are machine‑generated and may be inaccurate, incomplete, or inappropriate, and do not represent our views. AI friends are software — they are not real people, and the Service is not a substitute for professional advice (including medical, legal, financial, or mental‑health advice) or for human relationships or care. Do not rely on AI output for important decisions. If you are in crisis or considering self‑harm, contact your local emergency services or a crisis hotline — the Service is not an emergency service.

4. Intellectual Property and License

You Own Your Content and the AI friends you create. We do not claim ownership of your creative work.
Your Responsibility and Rights: You represent and warrant that you own or have all rights, licenses, and permissions necessary for Your Content—including all copyrights and rights of publicity—and that creating, uploading, generating, or sharing it does not violate any law or infringe upon any person’s rights. You are solely responsible for obtaining any consent required to depict a real person or any copyrighted content.
You Grant Us a License: To operate and provide the Service, you grant us a worldwide, non‑exclusive, royalty‑free license to host, store, reproduce, adapt (for example, to format or resize), display, and transmit Your Content as needed to run the Service — including storing your chats, delivering your messages to other participants and processing them through our AI service provider (Google’s Gemini API, which acts on our behalf and does not use your content for its own purposes) to generate responses, and allowing your AI friends to participate in chats you add them to (including responding to other users in group chats). This license ends when you delete the content or your account, except for limited copies retained for legal purposes or in backups for a limited time, and except where other users retain content you shared with them.
Improve the Service: We may also use data generated from your use of the Service — including derived data (such as AI memory) and de‑identified or aggregated data — to analyze, maintain, secure, and improve the Service, as described in our Privacy Policy.
Our IP: We own the CoFriend name, logo, app, and design. Don’t use our branding without permission.
Feedback: If you send us suggestions or feedback, we may use them freely without obligation to you.

5. Copyright / Takedown

We respond to notices of alleged copyright infringement. If you believe content on the Service infringes your copyright, send a notice with the legally required details to our designated agent at copyright@cofriend.ai. We may remove allegedly infringing content and terminate repeat infringers.

6. Paid Services

Subscriptions: CoFriend offers optional paid subscriptions with premium features. The current options and pricing are shown in the app and on the App Store. Subscriptions are billed through your app‑store account (for example, your Apple ID) and automatically renew for the same period unless you turn off auto‑renew at least 24 hours before the current period ends; renewal is charged within 24 hours before the period ends.
Manage or Cancel: You can manage or cancel a subscription anytime in your app‑store account settings. Payments are non‑refundable except where required by law or app‑store policy.
Price Changes: We will provide notice of price changes as required, and you may cancel before they take effect.
Virtual items: The Service may include virtual credits or items. These have no cash value, cannot be transferred or redeemed for money, and may expire or be forfeited if your account is terminated or you violate these Terms.

7. Disclaimers

The Service is provided “AS IS” and “AS AVAILABLE,” without warranties of any kind to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, secure, or error‑free, or that AI output will be accurate or suitable for your purposes. You use the Service at your own risk.

8. Limitation of Liability

To the fullest extent permitted by law, CoFriend will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost data, profits, or goodwill. Our total liability for any claim relating to the Service is limited to the greater of US$100 or the amount you paid us in the 12 months before the claim. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you, and nothing in these Terms limits rights that cannot be waived under applicable law.

9. Indemnification

You agree to indemnify and hold CoFriend harmless from claims, damages, losses, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, or your violation of these Terms or applicable law.

10. Dispute Resolution by Binding Arbitration

Talk to Us First: Contact support@cofriend.ai before bringing a claim; most issues are resolved quickly. If not, send a written Notice of Dispute, and we will have 60 days to try to resolve it informally.
Binding Arbitration: Except for the carve‑outs below, you and CoFriend agree to resolve disputes through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court before a judge or jury.
Class Action Waiver: Claims may be brought only on an individual basis, not as part of any class or representative action.
Carve-Outs: Either party may bring a claim in small‑claims court, and either party may seek injunctive relief in court to protect intellectual property.
Opt-Out: You may opt out of arbitration by emailing support@cofriend.ai within 30 days of first accepting these Terms.

Nothing in this section waives rights or dispute‑resolution options that cannot be waived under the law where you live.

11. Termination

You can delete your account at any time; deletion is handled as described in our Privacy Policy. We may suspend or terminate your access for violations of these Terms or to protect the Service or its users. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and arbitration) will survive.

12. Apple App Store and Other App Stores

If you download the app from Apple’s App Store, you acknowledge and agree that:

These Terms are between you and CoFriend only — not Apple — and Apple is not responsible for the app or its content.
Apple has no obligation to provide maintenance or support for the app.
In the event of any failure to conform to an applicable warranty, you may notify Apple for a refund (to the extent applicable); otherwise, to the maximum extent permitted by law, Apple has no warranty obligation, and any other claims are our responsibility, not Apple’s.
Apple is not responsible for addressing any claims relating to the app, including product‑liability, regulatory/consumer‑protection, or third‑party intellectual‑property claims.
Apple and its subsidiaries are third‑party beneficiaries of these Terms and may enforce them against you.
You represent that you are not located in a country subject to a U.S. Government embargo or designated as “terrorist‑supporting,” and are not on any U.S. Government prohibited‑party list.

Equivalent terms apply to any other app store or platform through which you obtain the app.

13. General

Changes to These Terms: We may update these Terms; for material changes we will notify you in the app or by email, and your continued use means you accept the updated Terms.
Governing Law: These Terms are governed by the laws of the State of Delaware, excluding its conflict‑of‑law rules, subject to Section 10 and to any non‑waivable rights under your local law.
Time Limit on Claims: Any claim relating to the Service must be brought within one year after it arises; otherwise it is permanently barred, except where a longer period is required by law.
Miscellaneous: If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control. These Terms (with the Privacy Policy) are the entire agreement between you and us regarding the Service.
